Cleverlance and Brain Systems merge

The merger of two major Czech software companies will create one of the largest Czech providers of IT services and software, whose most important objective is to increase the IT productivity of its customers.

Cleverlance and Brain Systems today announced that they’ve concluded an agreement on their merger and on the integration of their product portfolios into a software solution offer for clients in the financial, telecommunication, government and other sectors. The reason for the merger of the two companies is their similar orientation, mutually supplementing products and customer groups. The new company’s stronger position will facilitate the development of services provided to customers and further expansion on foreign markets. The aim is to become one of the major suppliers of IT services and software in the region.

“The merger with Brain Systems is the result of several months of preparation and consideration on how to best strengthen Cleverlance’s position on the market,” said Dobromil Podpěra, Cleverlance's Managing Director. "It‘s a logical step that arises from compatible product portfolios and similar corporate cultures, which makes the integration of Brain Systems and Cleverlance that much easier.

Brain Systems will be incorporated to the Cleverlance organizational structure over the course of December 2005 and January 2006. Jakub Dadák, the hitherto CEO of Brain Systems will head the project of merging the two companies. The company will continue to go by the name Cleverlance, and all Brain Systems products will be preserved and further developed under a new brand. Nothing changes for customers of Brain Systems and Cleverlance, except for an expanded portfolio of products and services and a change of name in the case of Brain Systems.

“Cleverlance was always a reliable partner whom we were happy to work with. This was a major factor in deciding on the merger of the two companies,” said Jakub Dadák, CEO of Brain Systems, who will hold the position of Integration Manager at Cleverlance. “We truly believe that this step will bring new opportunities to Brain Systems employees and enable us to penetrate new markets with our products."

The merger with Brain Systems enables Cleverlance to significantly strengthen its J2EE and .NET developer divisions. It also solidifies its dominant position as a developer of applications on a J2EE platform. The divisions of functional analysts, architects and project managers will be expanded considerably. The new Cleverlance thus improves its ability to supply more extensive projects and turnkey solutions. Brain Systems also enriches Cleverlance with its advanced system of outsourcing IT systems for its customers, including its extremely effective HelpDesk services and technical support.

Both companies have collaborated on major projects for some time now – for instance, on projects for Česká pojišťovna and GPE (formerly MUZO). The expected consolidated turnover of Brain Systems and Cleverlance for 2005 is CZK 300 million. The total number of employees at year’s end will approach 260. As of January 1, Cleverlance will have a total of four branches. In addition to its Bratislava, České Budějovice and Olomouc branches, Cleverlance will also have a new branch in Brno following its merger with Brain Systems.
